How to Evaluate a Local Partner in a New Market

The right local partner accelerates everything: licences, relationships, market understanding. The wrong one creates legal exposure, reputational damage and sunk costs. Partner evaluation deserves the same rigour as any major investment decision — because functionally, it is one.

Start with track record, not chemistry

Personal rapport matters in relationship-driven markets, but it is not evidence. Request references from previous international partners and — critically — verify them independently. A partner’s reputation among counterparties who have exited relationships is often more revealing than the references they offer.

Verify the regulatory standing

Corporate registration, tax standing, litigation history and licence validity must be confirmed through registry searches and, where appropriate, local counsel. In many markets, informal arrangements and formal records diverge; only the formal record protects you.

Assess capability against your actual needs

Define what you need the partner for — distribution, licensing, government relations, operations — and evaluate against that list. A partner strong in government relations may be weak in operational delivery. Mismatch of expectations, not bad faith, ends most partnerships.

Test the working relationship before the legal one

A defined pilot phase — a limited territory, a defined timeframe, measurable milestones — reveals working style, responsiveness and integrity under real conditions. Structure the pilot so that both parties can exit honourably if it fails.

Document everything the relationship assumes

Verbal assurances about market access, licences or relationships must be converted into contractual obligations, conditions precedent or clearly documented understandings. If it is not written down, it does not exist for legal purposes.
